What is a blue sky multiple?

A blue sky multiple represents the value of a dealership’s future earnings potential, expressed as a multiple of adjusted pre-tax cash flow — separate from the value of real estate, inventory, or fixed assets. Buyers base their offers on expected future cash flows, and the goodwill they’re willing to pay depends on their target return on investment, internal rate of return, and payback period. It’s the single most important number in a dealership sale, and it varies significantly by OEM franchise, region, and rooftop performance history.

We constantly monitor the buy-sell market to assess the desirability of various franchises. We analyze offers on transactions we are involved in and regularly speak with leading dealership buyers, as well as attorneys, bankers and CPAs involved in acquisitions.

Most buyers base blue sky offers on expected future cash flows, often expressed as a multiple of historical earnings. But the multiple is only one part of the valuation. The goodwill a buyer is willing to pay depends on its return targets, payback period, growth assumptions, financing costs and view of the risks and opportunities in that specific dealership.

The franchise multiples in the chart below are national averages. They are useful benchmarks, but they should not be applied directly to a dealership’s statement earnings to estimate its blue sky value as there are many variables that impact what a buyer will pay. Actual value can vary widely based on market size, geography, facility requirements, brand trajectory, local competition, management depth, real estate, growth prospects and other store-specific factors. Earnings also need to be normalized for rent, owner compensation, non-recurring income or expenses and other items that may not reflect how a buyer would underwrite the business. A simple multiple-of-earnings calculation can miss the real value of a dealership by a wide margin.

These changes reflect what we are seeing in the market: continued buyer demand for Lexus and Toyota stores, and more cautious underwriting for Porsche given recent product, pricing, tariff and facility-related concerns.
