In this latest episode of the Haig Partners Podcast, Jayson Crouch is joined by Mike Mader, Principal at Baker Tilly, to explore the sweeping tax reforms introduced in the newly passed Big Beautiful Bill—and what they could mean for dealership valuations, M&A activity, and long-term strategy.
This new tax legislation brings with it a host of benefits and deadlines that dealership owners, buyers, and sellers should be aware of. From bonus depreciation and Section 179 expensing to EV tax credit phaseouts and estate planning advantages, the Big Beautiful Bill introduces significant changes that will directly affect dealership profitability and value.
Bonus Depreciation Returns in Full
One of the most significant changes in the bill is the reinstatement of 100% bonus depreciation for qualifying personal property acquired after January 20, 2025. This means dealers can now immediately expense equipment, furniture, fixtures, and portions of new facility investments—so long as they are properly reclassified through cost segregation studies.
For buyers, this creates a meaningful financial advantage. Higher depreciation deductions translate into a stronger internal rate of return (IRR), which could justify more aggressive offers on high-performing dealerships. As Mader noted, dealers who have recently built or renovated facilities stand to gain the most.
Section 179 Expensing and EBITDA-Based Interest Deductions
The legislation also raises the limits for Section 179 expensing, allowing dealers to immediately write off more capital investments. Though limited for large groups, this provision is particularly valuable for mid-sized dealer groups looking to optimize tax efficiency.
In addition, the bill restores EBITDA as the basis for calculating interest deductibility under Section 163(j). This change allows for depreciation and amortization to be added back to adjusted taxable income, providing a larger deduction ceiling for leveraged buyers and increasing the feasibility of using debt in acquisitions.
Phaseouts of EV Credits and Charging Station Incentives
Dealers involved in the electric vehicle (EV) market should act quickly. The Section 30D and 25E credits for new and used EVs will expire after September 30, 2025, while the EV charging station credit ends on June 30, 2026. For dealers with unsold EV inventory or plans to install chargers, time is of the essence.
These phaseouts may also increase the value of dealerships that are already compliant with OEM EV infrastructure requirements. Buyers will find more value in stores where they won’t need to reinvest in EV readiness after incentives expire.
New Consumer Incentives Could Drive Deman
In a move aimed at stimulating demand, the bill introduces a new consumer tax credit for interest on new vehicle loans, allowing up to $10,000 in interest to be deductible. While limited to certain income levels, the benefit applies even for those taking the standard deduction—potentially making new vehicles more accessible and boosting sales.
Combined with enhanced tax benefits for dealers, this could lead to greater throughput and stronger cash flows—important factors in dealership valuation models.
SALT Deduction Expansion and Estate Tax Strategy
Another headline item is the increase of the SALT (state and local tax) deduction cap from $10,000 to $40,000 for individuals with adjusted gross incomes under $500,000. For dealers in high-tax states like California, New York, and New Jersey, this provision offers substantial tax relief.
The bill also maintains the estate tax exemption at $15 million per person, indexed for inflation. For dealership owners considering a succession plan or ownership transfer, this represents a critical window of opportunity. While labeled “permanent,” these policies are likely only fixed for the next three to four years—making early planning essential.
What This Means for Dealership M&A

As Jayson Crouch pointed out, while overall deal flow remains strong, many sellers have paused due to uncertainty in the market. But with more clarity now in place—and a competitive environment for quality stores—2025 may represent a window of maximum value.

The Big Beautiful Bill introduces meaningful changes to how dealerships should think about tax planning, facility investment, and buy-sell timing. With key provisions phasing out in 2025 and 2026, dealers should be reviewing their strategies now.
